These Terms and Conditions ("Terms") govern your access to and use of the Budgee marketing budget planning and management platform, including any associated websites, applications, and services (collectively, the "Service"). The Service is owned and operated by Budgee Software PTY LTD (ACN [Your ACN Here]), an Australian proprietary limited company ("Budgee", "we", "us", or "our").
By registering for, accessing, or using the Service, you ("User", "you", "your") agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.
If you are using the Service on behalf of an organization or entity ("Organization"), you represent and warrant that you have the authority to bind that Organization to these Terms, and in that context, "you" and "your" will refer to that Organization.
1. Description of Service
Budgee is a software-as-a-service (SaaS) platform designed to provide marketers with tools for budget planning, management, tracking, and reporting. Key features include multi-view budget planning, real-time transaction tracking via integrations, automated alerts, advanced reporting, audit trails, and team collaboration functionalities ("Features"). The Service is designed specifically for marketing workflows and is not a substitute for professional accounting or financial advice.
2. Account Registration and Security
2.1. Eligibility: To use the Service, you must be at least 18 years old and capable of entering into a legally binding contract. 2.2. Registration: You must complete the registration process by providing accurate, current, and complete information as prompted by the registration form. This includes setting up a company profile and choosing a subscription plan. 2.3. Account Security: You are solely responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities that occur under your account. You must notify us immediately at david@trybudgee.com of any unauthorized use of your account or any other breach of security. Budgee will not be liable for any loss or damage arising from your failure to comply with this section. 2.4. User Roles: The Service allows for different user roles with varying levels of permissions (e.g., Administrator, Manager, Editor, Viewer). The Administrator is responsible for managing user access and roles within the Organization's account.
3. Subscriptions, Fees, and Payment
3.1. Subscription Plans: The Service is offered under various subscription plans ("Plans"), as detailed on our pricing page. The available Features, user limits, and data retention periods (e.g., audit trail history) are determined by your selected Plan. 3.2. Free Trial: We may offer a free trial for a limited period ("Trial Period"). At the end of the Trial Period, you must subscribe to a paid Plan to continue using the Service. We reserve the right to modify or discontinue the free trial at any time without notice. 3.3. Fees: You agree to pay all applicable fees for your selected Plan ("Subscription Fees"). All fees are quoted in the currency specified at the time of purchase and are non-refundable, except as required by law or as otherwise specified in these Terms. 3.4. Billing and Payment: Subscription Fees are billed in advance on a recurring basis (monthly or annually) as selected by you. You must provide a valid payment method, such as a credit card, to be processed by our third-party payment processor (Stripe). You authorize us to charge your payment method for all applicable Subscription Fees. 3.5. Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle for a subsequent period of the same duration, unless you cancel your subscription through your account settings prior to the end of the current billing cycle. 3.6. Price Changes: Budgee reserves the right to modify the Subscription Fees at any time. We will provide you with at least thirty (30) days' prior notice of any fee changes. Your continued use of the Service after the fee change constitutes your agreement to pay the modified amount. 3.7. Overdue Payments: If any Subscription Fees are overdue, we may, without limiting our other rights and remedies, suspend your access to the Service until such amounts are paid in full.
4. Use of the Service
4.1. License Grant: Subject to your compliance with these Terms and payment of all applicable fees, Budgee grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal business purposes during the term of your subscription. 4.2. Acceptable Use: You agree not to: a. Use the Service for any unlawful purpose or in violation of any applicable local, state, national, or international law. b. Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service. c. Modify, adapt, translate, or create derivative works based upon the Service. d. Introduce any viruses, trojan horses, worms, or other malicious software into the Service. e. Use the Service to infringe upon the intellectual property rights or privacy rights of any third party. f. Interfere with or disrupt the integrity or performance of the Service or its data. g. Attempt to gain unauthorized access to the Service or its related systems or networks.
5. Third-Party Integrations
5.1. General: The Service may allow you to connect with third-party platforms, such as QuickBooks and Xero ("Third-Party Services"). 5.2. No Endorsement: Your use of any Third-Party Service is solely between you and the applicable provider. Budgee does not warrant, endorse, or support, and is not responsible or liable for, any Third-Party Service, including its data handling, functionality, or availability. 5.3. Data Exchange: By enabling an integration, you expressly authorize Budgee to access and exchange your data with the Third-Party Service on your behalf. You are responsible for the accuracy and legality of all data you provide to or through the Service. You acknowledge that Budgee’s use of data received from Third-Party Services will be governed by our Privacy Policy.
6. Intellectual Property
6.1. Budgee's IP: All rights, title, and interest in and to the Service, including all underlying software, technology, documentation, and branding (trademarks, logos), are and will remain the exclusive property of Budgee Software PTY LTD and its licensors. These Terms do not grant you any rights to use Budgee's trademarks or logos. 6.2. Your Data: You retain all ownership rights to the financial data, budget plans, user information, and any other content you upload or create within the Service ("Your Data"). You grant Budgee a worldwide, non-exclusive, royalty-free license to host, use, process, and display Your Data solely for the purpose of providing and improving the Service. 6.3. Feedback: If you provide us with any feedback, suggestions, or ideas for improving the Service ("Feedback"), you grant Budgee an unlimited, irrevocable, perpetual, royalty-free license to use such Feedback for any purpose without any obligation or compensation to you.
7. Confidentiality and Privacy
7.1. Confidentiality: We will treat Your Data as confidential information and will not disclose it to any third party except as required to provide the Service, as authorized by you, or as required by law. 7.2. Privacy: Our collection and use of personal information in connection with the Service are described in our Privacy Policy. You agree to the collection, use, and disclosure of your personal information in accordance with our Privacy Policy. 7.3. Security: We will implement and maintain reasonable administrative, physical, and technical safeguards to protect the security and integrity of Your Data. However, you acknowledge that no security measures are perfect, and we cannot guarantee that unauthorized third parties will never be able to defeat our security measures.
8. Disclaimers and Limitation of Liability
8.1. Disclaimer of Warranties: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. BUDGEE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DATA, INCLUDING DATA FROM THIRD-PARTY SERVICES, WILL BE ACCURATE OR RELIABLE. 8.2. Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BUDGEE, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THIS SERVICE. 8.3. Maximum Liability: UNDER NO CIRCUMSTANCES WILL BUDGEE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE EXCEED THE TOTAL AMOUNT OF SUBSCRIPTION FEES PAID BY YOU TO BUDGEE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. 8.4. Australian Consumer Law: For users in Australia, the limitations of liability in this section do not exclude, restrict, or modify the application of any right or remedy that cannot be excluded, restricted, or modified under the Australian Consumer Law (ACL).
9. Indemnification
You agree to defend, indemnify, and hold harmless Budgee Software PTY LTD and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to legal fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that Your Data caused damage to a third party.
10. Term and Termination
10.1. Term: These Terms will remain in full force and effect while you use the Service. 10.2. Termination by You: You may terminate your subscription and these Terms at any time by cancelling your Plan through your account settings. No refunds will be provided for any prepaid fees. 10.3. Termination by Budgee: We may suspend or terminate your account and access to the Service, at our sole discretion, if you breach any provision of these Terms. We will make a reasonable effort to provide you with notice of the termination. 10.4. Effect of Termination: Upon termination, your right to use the Service will immediately cease. We will have no obligation to maintain or forward Your Data after termination, and we may delete all of Your Data in our possession in accordance with our data retention policies, subject to applicable law.
11. Governing Law and Dispute Resolution
11.1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of New South Wales, Australia, without regard to its conflict of law principles. 11.2. Jurisdiction: You agree to submit to the exclusive jurisdiction of the courts located in Sydney, New South Wales, Australia to resolve any legal matter arising from these Terms.
12. General Provisions
12.1. Changes to Terms: Budgee reserves the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on our website or by sending you an email. Your continued use of the Service after such changes constitutes your acceptance of the new Terms. 12.2. Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Budgee concerning the Service and supersede all prior or contemporaneous communications and proposals. 12.3. Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. 12.4. Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Budgee's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. 12.5.
